1. Agreement to Terms

By accessing and using the services provided by CODE AT IT SRL ("Company", "we", "our", or "us"), you accept and agree to be bound by the terms and provision of this agreement.

2. Description of Service

CODE AT IT SRL provides professional software development services including but not limited to:

• Web application development
• Frontend and backend development
• Database design and implementation
• API development and integration
• Code review and consulting services
• DevOps and deployment services

3. Project Scope and Deliverables

3.1 Project Definition

All projects will be clearly defined through a written agreement or statement of work that includes:

• Project scope and objectives
• Deliverables and timeline
• Payment terms and schedule
• Technical requirements and specifications

3.2 Changes to Scope

Any changes to the agreed project scope must be documented in writing and may result in additional charges and timeline adjustments.

4. Payment Terms

4.1 Rates and Invoicing

Payment rates and schedules will be agreed upon before project commencement. Invoices are typically issued based on:

• Hourly rates for ongoing work
• Fixed project pricing for defined deliverables
• Milestone-based payments for larger projects

4.2 Payment Terms

Unless otherwise agreed, payment is due within 30 days of invoice date. Late payments may incur interest charges of 1.5% per month.

5. Intellectual Property

5.1 Client Ownership

Upon full payment, the client will own all custom code and deliverables created specifically for their project, except for:

• Pre-existing intellectual property
• Third-party libraries and frameworks
• General methodologies and best practices

5.2 Portfolio Rights

CODE AT IT SRL reserves the right to use project information and code examples (with sensitive information removed) for portfolio and marketing purposes.

6. Confidentiality

We understand that clients may share confidential information during the course of a project. We commit to:

• Maintaining strict confidentiality of all client information
• Not disclosing confidential information to third parties
• Using client information only for the purpose of delivering agreed services

7. Warranties and Limitations

7.1 Service Warranty

We warrant that services will be performed in a professional manner using industry best practices. We will correct any defects in our work at no additional charge for a period of 30 days after delivery.

7.2 Limitation of Liability

Our liability for any claim related to our services shall not exceed the total amount paid for the specific project. We are not liable for any indirect, incidental, or consequential damages.

8. Termination

Either party may terminate the agreement with written notice. In case of termination:

• Payment is due for all work completed up to termination date
• All project materials will be delivered in their current state
• Both parties remain bound by confidentiality obligations

9. Governing Law

These terms are governed by Romanian law. Any disputes will be resolved through Romanian courts or agreed arbitration procedures.
